ROYALTY-FREE IMAGE LICENSE AGREEMENT

This Royalty-Free Image License Agreement (“Agreement”) is entered into by and between Project Universal (“Licensor”, “we”, “our”, or “us”), and any person or entity (“Licensee”, “you”, or “your”) who downloads, purchases, or otherwise uses any image (“Image” or “Content”) made available through our website https://projectuniversal.uk (“Website”).

By downloading, purchasing, or using any Image from the Website, you agree to be bound by the terms of this Agreement.

1. GRANT OF LICENSE

1.1 The Licensor hereby grants the Licensee a non-exclusive, perpetual, worldwide, royalty-free license to use, reproduce, modify, and display the Images for permitted uses as defined in this Agreement.

1.2 This license applies only to the specific Images obtained from the Website and does not transfer ownership of any copyrights or intellectual property rights to the Licensee.

2. PERMITTED USES

You may use the Images for:

  • Personal, editorial, or commercial projects (including websites, marketing materials, advertisements, blogs, social media, presentations, and products).
  • Modification or adaptation of the Images for creative purposes.
  • Inclusion in digital or print materials, provided the use complies with Section 3 below.

No additional royalties or fees are required after initial download or purchase.

3. RESTRICTED USES

You may not:

  1. Resell, redistribute, or sublicense the Images “as is” or in a way that allows others to use or download them separately from your project.
  2. Use the Images in any trademark, logo, or service mark without prior written consent.
  3. Use the Images in a defamatory, pornographic, fraudulent, or otherwise unlawful manner.
  4. Claim the Images as your own original work or imply endorsement by the Licensor or any depicted individual or brand.
  5. Use the Images in a way that permits automated scraping, AI training datasets, or redistribution via stock platforms without express permission.

4. OWNERSHIP

All Images remain the exclusive property of Project Universal or its respective contributors.
The Licensee acquires only the rights specifically granted in this Agreement.

5. TERMINATION

This license is effective until terminated.
It will terminate automatically if the Licensee breaches any term of this Agreement. Upon termination, all copies of the Images must be deleted or destroyed.

6. DISCLAIMER OF WARRANTIES

All Images are provided “as is,” without warranty of any kind.
Project Universal disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

7. LIMITATION OF LIABILITY

Under no circumstances shall Project Universal be liable for any indirect, incidental, consequential, or punitive damages arising out of the use or inability to use the Images.

8. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws principles.
